Welcome to Talisman Insight, LLC ("Talisman Insight," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"). By using the Services, you agree to comply with these Terms. If you do not agree to these Terms, you may not access or use the Services.

For the purposes of these Terms:

• "Service" refers to the Talisman Insight platform, website, and related offerings designed to facilitate consulting engagements between Clients and Experts.

• "User" means any individual or entity that accesses or uses the Service, including both Clients and Experts.

• "Client" refers to a User who engages Experts via the Service for consulting purposes.

• "Expert" refers to a User who offers consulting services through the Service.

• "Engagement" means any project, interaction, or consultation facilitated between Clients and Experts through the Service.

By accessing or using the Services, you confirm that:

• Legal Age: You are at least 18 years old or the age of majority in your jurisdiction.

• Authority: You have the authority to agree to these Terms on behalf of yourself or any organization you represent.

• Compliance: You will use the Services in compliance with applicable laws and regulations. 

Experts provided through Talisman Insight (“Experts”) act as independent contractors and are not employees, agents, or representatives of Talisman Insight. Accordingly:

• Independent Status: Experts operate independently and are not under the employment, agency, or control of Talisman Insight.
   
• No Supervision: Talisman Insight does not supervise, direct, or validate the information or views shared by Experts during engagements.
   
• Responsibility Disclaimer: Talisman Insight is not liable for the actions, omissions, or compliance breaches of any Expert, including the accuracy or legality of any information shared.

Experts participating in the Service agree to the following. Failure to meet these obligations may result in removal from the network and other appropriate action depending on the nature of the issue.

• Compliance: Experts are responsible for making sure that participating in any engagement doesn’t conflict with their own legal, professional, or contractual obligations. If there’s any uncertainty, they should decline the engagement and let us know.

• Confidentiality: Experts must not share any confidential, proprietary, or material non-public information. They also may not use or share anything related to the engagement itself—like the client’s identity, project details, or inquiry topics—for any personal or external purpose.

• Ethical Conduct: Experts are expected to act professionally, avoid conflicts of interest, and operate with integrity throughout every engagement.

• Compliance Training: Experts may be asked to complete compliance training and understand that engagements may be subject to occasional review for quality and compliance purposes.

Clients acknowledge and agree to the following responsibilities when engaging Talisman Insight’s services:

• Proper Use of Information: Use information gained from engagements in accordance with all applicable laws and ethical guidelines.

• Avoid Solicitation: Refrain from soliciting confidential or non-public information from Experts.

• Respect for Privacy: Avoid using Expert information (e.g., names, affiliations) for unauthorized purposes, including unsolicited outreach or resale.

Any violation of these Terms may result in immediate termination of your access to our services and potential legal action.

Experts may breach compliance if they:

• Confidentiality: Share confidential or proprietary information obtained through prior professional relationships.

• Agreement Violations: Breach non-disclosure agreements, employment contracts, or other obligations.

• Legal Infractions: Provide information or advice that violates applicable laws or regulations.

Clients may breach compliance if they:

• Solicitation: Attempt to obtain confidential or proprietary information from Experts.

• Misuse: Use information gained through the Services for illegal or unethical purposes.

• Conflicts: Fail to disclose conflicts of interest that could compromise engagements.

Both Clients and Experts agree to indemnify, defend, and hold harmless Talisman Insight, its affiliates, and their respective employees, directors, officers, agents, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Expert Misconduct: Breaches of compliance or obligations by Experts.

• Misuse of Information: Improper use of information by Clients.

• Legal Violations: Any violations of applicable laws, regulations, or these Terms by any User.

To the fullest extent permitted by law, the following limitations of liability apply:

• No Responsibility for Experts: Talisman Insight is not liable for actions, omissions, or advice provided by Experts.

• Accuracy of Information: Talisman Insight makes no guarantees regarding the accuracy or reliability of information shared by Experts.

• Exclusion of Damages: Talisman Insight is not liable for indirect, incidental, or consequential damages, even if informed of the possibility of such damages.

Both Clients and Experts must maintain strict confidentiality regarding information shared during engagements. 

• Client Obligations: Clients may not disclose, repurpose, or misuse any information obtained through Talisman Insight’s services. This includes the identity of Experts, project details, or any insights shared during the engagement. Clients may not share, record, transcribe, or distribute engagement content beyond their internal organization unless explicitly authorized. All information obtained must be used solely for the purpose of the engagement and in accordance with applicable laws, regulations, and Talisman Insight’s Terms.

• Expert Obligations: Experts are required to uphold any confidentiality obligations they may have with current or former employers, clients, or third parties. Experts must not disclose any information obtained through a Talisman Insight engagement—nor may they use any engagement-related information (including the subject matter, client identity, or inquiry focus) for personal gain or any purpose outside the intended engagement.

Talisman Insight reserves the right to update these Terms or modify the Service at any time. Changes will take effect immediately upon posting. Users who continue to use the Service after updates are posted agree to the revised Terms. Talisman Insight may terminate any User’s access to the Service for violations of these Terms.

• Policy Updates: Talisman Insight reserves the right to modify these Terms or discontinue Services at any time. Updates will take effect upon posting.

• Termination Rights: Talisman Insight may suspend or terminate a User’s account for any violation of these Terms.

These terms are governed by the laws of the state Talisman Insight operates in, without regard to conflict-of-law principles.

• Dispute Resolution: Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).

• Class Action Waiver: Users waive their rights to participate in class actions or collective proceedings.

Talisman Insight may record or transcribe expert engagements for internal client research, compliance monitoring, and quality assurance. Experts are asked to provide consent prior to any such recording or transcription, and clients are informed that participation in a recorded engagement is subject to expert approval.

By agreeing to participate in a recorded or transcribed engagement, Experts acknowledge that:

• They have provided informed consent for that specific engagement.
   
• Recordings and transcripts are used solely for internal client research, compliance monitoring, and quality assurance.
   
• Recordings and transcripts are never shared beyond the Client organization and are retained only as long as necessary.
   
• Experts may request deletion of recordings or transcripts by contacting compliance@talismaninsight.com, subject to legal or compliance obligations.

Talisman Insight is committed to protecting the privacy of its Users and implements commercially reasonable technical and organizational safeguards to secure all personal and professional information collected through its Services.

Information collected from Experts and Clients—including names, professional history, contact details, and participation data—is stored securely using encrypted systems and is processed solely for purposes directly related to the facilitation, monitoring, and improvement of our Services.

We do not sell or share personal data for marketing purposes. Users may request access to, correction of, or deletion of their personal information at any time by contacting compliance@talismaninsight.com. Personal data is retained only as long as necessary to fulfill operational, compliance, or legal requirements.

By participating in any engagement, both Experts and Clients confirm that they have reviewed and understand their own legal, contractual, and professional obligations. Each party agrees that they are solely responsible for ensuring their participation does not violate any applicable agreements, duties, or restrictions.

Experts agree to decline participation or notify Talisman Insight if they are unsure whether they are permitted to engage. Clients agree not to solicit or use information in a manner that would knowingly cause an Expert to breach any such obligations.

Experts further acknowledge that by accepting an engagement, they have reviewed and agreed to Talisman Insight’s Expert Code of Conduct and Industry-Specific Compliance Addendum, which are incorporated into these Terms and contractually binding.
