Welcome to Talisman Insight, LLC ("Talisman Insight," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, platform, and services (collectively, the "Services"), as well as your participation in research and consulting engagements facilitated by Talisman Insight. These Terms were last updated on October 4, 2025, and apply to all Experts and Clients who have agreed to any prior or current version of these Terms. By using the Services, completing any screening questionnaire, or participating in any Talisman Insight project, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. Submission of any screening form, questionnaire, or project participation form hosted or distributed by Talisman Insight confirms and constitutes your consent and agreement.
 

For the purposes of these Terms:

• "Service" refers to the Talisman Insight platform, website, and related offerings designed to facilitate consulting engagements between Clients and Experts.
• "User" means any individual or entity that accesses or uses the Service, including both Clients and Experts.
• "Client" refers to a User who engages Experts via the Service for consulting purposes.
• "Expert" refers to a User who offers consulting services through the Service.
• "Engagement" means any project, interaction, or consultation facilitated between Clients and Experts through the Service.
   

By accessing or using the Services, you confirm that:

• You are at least 18 years old or the age of majority in your jurisdiction.
• You have the authority to agree to these Terms on behalf of yourself or any organization you represent.
• You will use the Services in compliance with applicable laws and regulations.

Experts provided through Talisman Insight act as independent contractors and are not employees, agents, partners, or representatives of Talisman Insight.

• Independent Status: Experts operate independently and are not under the employment, agency, or control of Talisman Insight.
• No Supervision: Talisman Insight does not supervise, direct, or validate the information or views shared by Experts during engagements.
• Responsibility Disclaimer: Talisman Insight is not liable for the actions, omissions, or compliance breaches of any Expert, including the accuracy or legality of any information shared.

The following provisions apply specifically to individuals who participate as Experts through Talisman Insight. 

Experts participating in the Service agree to the following. Failure to meet these obligations may result in removal from the network and other appropriate action.

• Compliance: Experts are responsible for ensuring that participation in any engagement does not violate any legal, contractual, or professional obligations, including employment restrictions. If there is any uncertainty, they must decline the engagement and notify us immediately. Experts may not participate in projects with clients who are direct competitors of their current employer.
   
• Confidentiality: Experts must not disclose any confidential, proprietary, or material non-public information (MNPI). They are also prohibited from using or sharing any engagement-related details—such as the client’s identity, project scope, or topics—for personal, commercial, or external use.
   
• Ethical Conduct: Experts are expected to act professionally, avoid conflicts of interest, and operate with integrity throughout every engagement.
   
• Prohibited Advice: Experts may not provide investment, legal, medical, or other forms of professional advice. Engagements are strictly limited to sharing personal experience and publicly available information.
   
• Compliance Training: Experts may be asked to complete compliance training and understand that engagements may be reviewed for quality and compliance purposes.

Experts acknowledge and agree that:

• IP Assignment: Expert assigns all right, title, and interest in Work Product created during Client engagements to Talisman for the benefit of Client, including consultation recordings, transcripts, analysis, and insights.

• Client Information Protection: Experts shall maintain in strict confidence all non-public information disclosed by or relating to Clients during engagements, including business strategies, research objectives, investment decisions, and project details. Experts shall not use or disclose such information for any purpose other than the specific engagement. This obligation shall survive for five (5) years following the engagement.
   
• No Information Reuse: Experts may not reuse, reference, or disclose the nature of any Client engagement—including questions, research topics, or project focus areas—in subsequent consultations or communications with other clients or third parties.

• Retention of General Knowledge: This does not restrict the Expert’s use of their general knowledge, experience, or skills acquired independently of the engagement.

Clients acknowledge and agree to the following responsibilities when engaging Talisman Insight’s services:

• Proper Use of Information: Use information gained from engagements in accordance with all applicable laws and ethical guidelines.
• Avoid Solicitation: Refrain from soliciting confidential or non-public information from Experts.
• Respect for Privacy: Avoid using Expert information (such as names or affiliations) for unauthorized purposes, including unsolicited outreach or resale.
   

Experts may breach compliance if they:

• Share confidential or proprietary information obtained through prior professional relationships.
• Breach non-disclosure agreements, employment contracts, or other obligations. 
• Provide information or advice that violates applicable laws or regulations.
   

Clients may breach compliance if they:

• Attempt to obtain confidential or proprietary information from Experts.
• Use information gained through the Services for illegal or unethical purposes.
• Fail to disclose conflicts of interest that could compromise engagements.

Clients and Experts agree to indemnify, defend, and hold harmless Talisman Insight, its affiliates, and their respective employees, directors, officers, agents, and representatives from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:

• Expert misconduct or breach of obligations.
• Improper use of information obtained through the Service, including Expert or Client data.
• Improper use of the Service, including scraping, reverse engineering, unauthorized access, or interference with operations.
• Any violations of applicable laws, regulations, or these Terms by any User.
   

To the fullest extent permitted by law:

• Talisman Insight is not liable for actions, omissions, or advice provided by Experts.
• Talisman Insight makes no guarantees regarding the accuracy or reliability of information shared by Experts.
• Talisman Insight is not liable for indirect, incidental, or consequential damages, even if informed of the possibility of such damages.
• In no event shall Talisman Insight’s aggregate liability exceed the total fees paid by the Client in the twelve (12) months preceding the claim.

Talisman Insight may record or transcribe expert engagements for internal client research, compliance monitoring, and quality assurance. Experts are asked to provide consent prior to any such recording or transcription.

By agreeing to participate in a recorded or transcribed engagement, Experts acknowledge that:

• They have provided informed consent for that specific engagement.
• Recordings and transcripts are used solely for internal client research, compliance monitoring, and quality assurance.
• Recordings and transcripts are never shared beyond the Client organization and are retained only as long as necessary. 
• Experts may request deletion of recordings or transcripts by contacting compliance@talismaninsight.com, subject to legal or compliance obligations.

Talisman Insight is committed to protecting the privacy of its Users and implements commercially reasonable technical and organizational safeguards to secure all personal and professional information collected through its Services.

Information collected from Experts and Clients—including names, professional history, contact details, and participation data—is stored securely using encrypted systems and processed solely for purposes directly related to the facilitation, monitoring, and improvement of our Services.

We do not sell or share personal data for marketing purposes. Users may request access to, correction of, or deletion of their personal information at any time by contacting compliance@talismaninsight.com. Personal data is retained only as long as necessary to fulfill operational, compliance, or legal requirements.

Expert personally identifiable information (“PII”) and engagement data are shared only with (i) the Client commissioning the engagement and, if applicable, (ii) that Client’s end-client strictly for engagement-related purposes.

Talisman Insight maintains role-based access controls to ensure Expert PII is never visible to unauthorized third parties. Clients and their end-clients may not share, export, resell, or otherwise transfer Expert PII for any purpose outside the specific engagement.

Talisman Insight reserves the right to update these Terms or modify the Service at any time. Changes will take effect immediately upon posting. Users who continue to use the Service after updates are posted agree to the revised Terms.

Talisman Insight may suspend or terminate a User’s account for any violation of these Terms.

Talisman Insight maintains electronic records of Expert consent obtained through its screening forms. These records serve as proof of acceptance of these Terms and Conditions.

These Terms are governed by the laws of the state in which Talisman Insight operates, without regard to conflict-of-law principles.

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). Users waive their rights to participate in class actions or collective proceedings.
